User Responsibilities

Force Majeure

1XL Infra shall not be held responsible for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, wars, terrorism, or government restrictions. In such cases, 1XL Infra will not be held liable for any damages, and the affected party will be excused from its performance under the contract.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the extent necessary to make it enforceable while preserving the original intent of these Terms.

Applicable Regulations

These Terms and Conditions are crafted to comply with the relevant UAE commercial laws and regulations governing real estate development, investment, and data protection in the United Arab Emirates. Specifically, these include, but are not limited to:

  • UAE Commercial Law: Federal Law No. 2 of 2015 on Commercial Companies regulates the structure and operation of companies in the UAE, including those involved in real estate development and investment. As such, 1XL Infra is required to comply with this law in all its business activities.
  • Real Estate Laws and Regulations: The Dubai Land Department (DLD) and Real Estate Regulatory Agency (RERA) regulate real estate transactions in Dubai. These laws govern property sales, transfers, and leases, and ensure compliance with specific requirements for off-plan property sales, joint ventures, and developer obligations. 1XL Infra ensures that all projects comply with DLD and RERA’s guidelines regarding the sale and management of property.
  • Investment Laws: Investment activities, particularly those related to real estate, are also governed by various UAE laws, such as those managed by the UAE Securities and Commodities Authority (SCA). Additionally, UAE Federal Law No. 4 of 2000 governs foreign investments and sets conditions for local and international investors involved in real estate, ensuring a transparent and regulated investment environment.
  • Data Protection: Federal Decree-Law No. 45 of 2021 on Personal Data Protection regulates the collection, storage, processing, and transfer of personal data in the UAE. 1XL Infra complies with this law to ensure that your personal data is protected throughout your interaction with our services.

Dispute Resolution

In line with standard business practices in the UAE, any disputes or legal conflicts arising from or in connection with these conditions shall be governed by the UAE legal framework. This ensures a clear and reliable process for resolving any disagreements.

  • Governing Law: All disputes related to these regulations, including their interpretation, performance, or breach, will be subject to the laws of the UAE. Specifically, the Federal Civil Transactions Law (Federal Law No. 5 of 1985) and the UAE Commercial Transactions Law (Federal Law No. 18 of 1993) will govern any legal matters related to commercial contracts and transactions.
  • Exclusive Jurisdiction of Dubai Courts: Any disputes that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts in Dubai, UAE. The Dubai International Financial Centre (DIFC) courts may also be applicable if the dispute pertains to financial matters or involves companies registered within the DIFC. This exclusive jurisdiction clause ensures that all disputes are resolved within a structured and internationally recognised legal system.

If both parties agree to arbitration, the arbitration process shall follow the guidelines established by the Dubai International Arbitration Centre (DIAC) or other appropriate arbitration bodies in the UAE.

By agreeing to these Terms and Conditions, you acknowledge that any legal disputes, whether relating to investments, property transactions, or any other aspect of your engagement with 1XL Infra, will be resolved in compliance with UAE law, and with the understanding that any legal action will be governed by the jurisdiction of Dubai’s courts or arbitration process, as appropriate.
